COMMERCIAL VEHICLE LEASE, INDEPENDENT CONTRACTOR, AND FULL INDEMNIFICATION AGREEMENT

Between Artempi, LLC d/b/a Zen Paws Retreat Mobile Groomers (“Lessor”) and the undersigned groomer (“Lessee”).

1. Vehicle & Equipment: Lessor leases the 2005 Ford E-350 Turtle Van and all grooming equipment “AS-IS, WHERE-IS” with NO WARRANTIES.

2. Independent Contractor: Lessee is an independent business owner. No employment relationship exists.

3. Strict Liability & Assumption of Risk: Lessee assumes 100% liability for ALL operations, accidents, tickets, tolls, pet injuries, third-party injuries, and property damage during the entire lease term.

4. Insurance & Additional Insured: Lessee must maintain Commercial Auto ($1M minimum) and General Liability insurance naming Artempi, LLC, Paola Intriago, and Xavier Intriago as Additional Insureds. Proof must be provided before keys are released.

5. Damage & Maintenance: Lessee is responsible for ALL repairs, cleaning, fueling, and loss of business income while the van is grounded.

6. Full Indemnification: Lessee shall indemnify, defend, and hold harmless Lessor from ANY claim, lawsuit, or expense arising from Lessee’s use of the Vehicle.

7. Waiver of Subrogation & No Liens: Lessee waives all subrogation rights and agrees not to place any liens on the Vehicle.

8. Arbitration & Venue: Disputes shall be resolved by binding arbitration in Orange County, Florida. Florida law governs. Prevailing party recovers all attorney fees.

9. Electronic Signature: Typing my full legal name constitutes a binding electronic signature under the UETA and ESIGN Act.
